It has long been recognized that modern firms are run by professional managers (agents), who are accountable to dispersed shareholders (principals). The question is how to ensure that managers follow the interests of shareholders in order to reduce cost associated with principal agent theory. To do that, the principals have to deal with two problems. First they face adverse selection problem: that is they must select the most capable managers. Various governance mechanisms have been advocated which include monitoring by financial institutions, prudent market competition, executive competition, debt, developing an effective board of directors, markets for corporate control and concentrated holdings. Developing an effective board of directors remains an important and feasible option for an optimal corporate governance mechanism. Agents or managers may not always act in the best interest of shareholders when the control of a company is separate from its ownership. In June 1959, Simon Herbert (Baysinger and Hoskisson 1990) proclaimed that managers might be satisfiers rather than maximisers that is they tend to play it safe and seek an acceptable level of growth because they are more concerned with perpetuating their own existence than with maximising the value of the firm to its shareholders. But shareholders delegate decision making authority to the agent (CEO) with the expectation that the agent shall act in their best interest. In contrast, Demesetz (1983) and Fama and Jensen (1983) suggest that the primary monitoring of managers comes not from owners but from the managerial labour market. It is argued that management control of a large corpora tion is completely separate from its security ownership. Efficient capital markets provide signals about the value of a companys securities and this about the performance of its managers. If the managerial labour market is competitive both within and outside the firm, it will tend to discipline the manager. Therefore the signals given by changes in the total market value of the firms securities become very important. Kaplan and Reishus (1990) find evidence consistent with this argument: directors of poorly performing firms, who therefore may be perceived to have done a poor job overseeing management, are less likely to become directors at other firms. On the other hand, reputation concerns do not correct all agency problems and can in fact create new ones. A comprehensive theory of the firm under agency arrangements was developed by Jensen and Meckling (1976), who show that the principals (the shareholders) can assure themselves that the agent will make the optimal decisions only if appropriate incentives are given and only if the agent is monitored. Incentives include such things as stock options, bonuses and prerequisites which are directly related to how well the results of managements decisions serve the interest of shareholders. Monitoring consists of bonding the agent, systematic reviews of management prerequisites financial audits and placing specific limits on management decisions. These involve costs which are inevitable result of the separation of corporate ownership and control. Such costs are not necessarily bad for shareholders but the monitoring activity they cover needs to be efficient. Jensen and Meckling (1976) further define agency relationship and identify agency costs. Agency relationship according to them is a contract under which one or more persons (principal) engage other person (agent) to perform some service on their behalf, which involves delegating some decision-making authority to the agent. The scenario normally generates a conflict of interest. The conflict of interest between managers or controlling shareholder, and outside or minority shareholder refers to the tendency that the former may extract perks out of a firms resources and be less interested to pursue new profitable ventures. Agency costs in this case include monitoring expenditures by the principal such as auditing, budgeting, control and compensation systems, bonding expenditures by the agent and residual loss due to divergence of interests between the principal and the agent. The main characteristic of corporate governance identified in this studies include board size, board composition and whether the CEO is also the board composition. There is a view that larger boards are better for corporate governance because they have a range of expertise to help make better decisions and are harder for a powerful CEO to dominate. In recent times on the contrary emphasis has geared towards smaller boards. Jensen (1993) and Lipton and Lorsch (1992) contend that large boards are less effective and are easier for a CEO to control. The reason is that when a board get too big it becomes difficult to co-ordinate and process problems. Klapper and Love (2002) examine corporate governance and performance in a sample of firms in 14 countries most of which are developing economies. They find that better c orporate governance is associated with better performance in the form of Tobins q and ROA. Agency theory, agency problem, agency costs and the Anglo-saxon model (market based model) Maximisation of stakeholder interest John and Senbet (1998) provide a comprehensive review of the stakeholder theory of corporate governance. The main issue raised in the theory is the presence of many parties with competing interests in the operations of a firm. They thus propose an extension of the theory called an enlightened stakeholder theory. In Kenya, CG is still at its infancy stage and therefore an examination of its relationship with the performance of a vital sector such as the microfinance sector is not only desirable but long overdue. Stakeholder theory How are its objectives met? Board attributes The corporate governance literature identifies four sets of board attributes; namely, composition, characteristics, structure and process (Zahra and Pearce 1989; Maassen 1999). Board composition refers to the size of the board and the mix of different directors demographics (insiders/outsiders, male/female, foreign/local) and the degree of affiliation directors have with the corporations (Zahra and Pearce 1989; Maassen 1999). Board characteristics encompass directors background, such as directors experience; tenure; functional background; independence; stock ownership and other variables that influence directors interest and their performance (Hambrick 1987; Zahra and Pearce 1989). Board structures covers board organization; the role of subsidiary boards in holding companies; board committees; the formal independence of one-tier and two-tier board; the leadership of boards and the flow of information between board structures (Maanssen 1999). Mace (1986) further argues that in selecting outside directors the title and the prestige of the candidates are the primary consideration. The agency theory, at the other end of the spectrum argues that the presence of boards of directors is to monitor management and to protect the interest of shareholders (Mallette and Fowler 1992; Fama and Jensen 1983). It is further argued that outside directors are stricter in discharging their responsibilities as they are not directly affiliated with the management (Weisbach 1988). Having outside directors who are argued to be impartial is vital as they can act as providers of relevant complementary knowledge to the management (Fama and Jensen 1983:315). Hence outside directors could bring into the board the wealth of expertise tha t is useful to the management in deciding the direction of the firm or to clarify its strategies. This could further enhance the boards role as being the ratification and the monitoring of management decisions as argued by Fama and Jensen (1983). As a result the performance of the management is expected to improve and more importantly increase the wealth of shareholders. Evidence of board independence effectiveness was also offered bu OSullivan (2000) who found that audit fees (a proxy for extensiveness of the audit works) were negatively associated with board independence. The author argued that board independence should lead to a better quality of financial reporting and thus the scope of the audit and therefore the audit fees would be reduced. The evidence found by Peasnell et al (2000) on the effects of outside directors on the financial reporting aspects further confirm that high monitoring tendency of outside directors. In addition, evidence has also showed that outside dir ectors are more likely to join and inside directors leave the boards of poor performing firms (Hermalin and Weisbach 1988). Thus it may be argued that poorly performing firms are expected to benefit from the entry of more outside directors. In a study on the extent of fraudulent reporting Beasley (1996) further documented evidence supporting the significant roles of outside directors. Evidence of outside directors effectiveness was also documented in New Zealand by Bradbury and Mak (2000). The concern has been on the issue of non-executive directors who may not be truly independent (Bhagat and Black 1997; Vicknair et al 1993). Perry (1995) argues that the inclusion of independent non-executive directors may negatively influence the board cohesiveness since they are involved in the decision-making process of the firm and at the same time act as monitors of management. This Perry (1995) argues could lead to a conflict of interest. This argument could perhaps lead to the performance of the firm not being improved even though the board is dominated by outside directors. The lack of non-executive directors incentives to remove members of the top management following the firms poor performance as a result of their insignificant shares in the firm and their compensation and the views of the CEOs could determine their re-appointment as non-executive directors (Conyon and Peck 1998). Further it was earlier found that performance review by the board in most companies was minimal and it was purported to satisfy the minimal requirement of law (Boulton 1978) and except during the period of crisi, most boards were content with a superficial review of the performance (Clendenin 1972). In an empirical study, Fosberg (1989) found that there was no significant difference in various financial ratios (indicative of the firms performance) between firms whose boards were dominated by outside directors and firms whose boards were not dominated by inside directors. The argument , that having outside directors on the board could adversely affect the board performance could largely be due to the fact that outside directors do not have access to adequate knowledge about the firm. This is due to the nature of non executive directors appointments who are not full-time employees in the company and the limited time commitment that could result in boards that are composed in the majority of weak outside directors (Koontz 1967). Moreover, these directors either hold no shares or hold insignificant shares in the firm as argued by Conyon and Peck (1998). Thus their incentives to monitor management and thus contribute significantly in the pursuit of the shareholders interests may be low. In fact Baysingers and Hoskisson (1990) argue that non executive directos have negative influences on corporate entrepreneurship. Research evidence showing a negative association between the proportion of independent non-executive directors and firm performance was documented (Klein 1 998; Agrawal and Knoeber 1996; Yermack 1996). In a survey done in Singapore, Goodwin and Seow (2000) found that the majority of company directors felt that independent directors should make up 25% to 50% of the board. The study also found that none of the directors in the survey felt that independent directors should be less that 25% of the board. These findings therefore are not different from the recommendation contained in the Report on Corporate Governance (1999) and the Malaysian Code on Corporate Governance (2001) which recommends that at least one-third of the board members be independent directors. Similar recommendation was also found in the Hampel Report (1998). However according to Goodwin and Seow (2000), the respondents in their survey which included directors, auditors and institutional investors, all felt that there was a need for a clear definition of independent directors. An absence of this definition would make it difficult to determine compliance with the reco mmendation. On the importance of non-executive directors representation on the board, Goodwin and Seow (2000) found that non-executive directors were more convinced that strong corporate governance enhances the board effectiveness more than executive directors were. Though the findings are mixed, evidence generally supports the effects of outside directors on the firms performance. This is because outside directors are expected to be independent of management and were generally ÃÆ' ¢Ãƒ ¢Ã¢â‚¬Å¡Ã‚ ¬Ãƒâ€šÃ‚ ¦appointed for their business acumen, wide commercial experience or contacts on the government industry (Reay 1994:74). He argues that it is the CEO who enables the board to play the primary force. In a similar vein, dual leadership structure signals the absence of separation of the decision management and the decision controls (Fama and Jensen 1983:314; Rechner 1989) argued that the ideal corporate governance structure is one in which the board is composed of a majority of outside directors and a chairman who is an outside director. She stated that the weakest ccroporate governance is one where the board is dominated by insider directors and the CEO holds the chairmanship of the board. The board, with the high influence of the management will not be able to discipline the management appropriately as the management who controls the board will over-rule such initiatives. Miller (1997) also argues that a non-executive chairman promotes a higher level of corporate openness. The issue of separation of the top two posts has been addressed in the Cadbury Committee (1992), which recommended that the roles of the board chairman and the CEO be separated. The Malaysian Code on Corporate Governance (2001) also recommends a similar board structure. The reason for the need for separation is that when both the monitoring roles (ie the b oard chairman) and implementation roles (ie the CEO) are vested in a single person, the monitoring roles of the board will be severely impaired. The impairment in the board independence could affect the board incentives to ensure that management pursues value-increasing activities. The Hampel Report (1998) points out that, in some circumstances, the top two roles can be combined but it recommends that the reasons for combining the roles should be publicly disclosed. Though literature seems to consistently argue that separate individuals for the post of CEO and chairman leads to a better corporate governance system, the real issue is whether this leads to the board to be a better monitor and thus is capable of increasing the value of the firm. Proponents of the CEO duality structure argue that combining these two roles provide a clear focus for objectives and operations (eg. Andersen and Anthony 1986; Stoeberl and Sherony 1985). Separation of CEO and chairman posts has both costs and benefits and it was shown that for larger firms the costs are greater than the benefits (Brickley et al 1997). Evidence by Shamsul Nahar Abdullah (2002) in the Malaysian setting and Bradbury and Mak (2000) in the New Zealand setting confirmed the cost and benefit contention. In their study Berg and Smith (1978) found that there was no significant difference in various financial indicators between firms, which experienced CEO duality and firms which did not. The substantial cost of the separation could come from ÃÆ' ¢Ãƒ ¢Ã¢â‚¬Å¡Ã‚ ¬Ãƒâ€šÃ‚ ¦incomplete transfer of company information and confusion over who is in charge of running the company (Goodwin and Seow 200:43). This could hamper the performance of the firms financial indicators. It could also be argued that when one person is in charge of both tasks, the decisions are reached much faster. Moreover, when the board chairman and the CEO is the same person, he or she is well aware of the decisions needed to improve the perf ormance of the firm. In another study, Chaganti et al (1985) also documented evidence similar to that found in Berg and Smith (1978) involving firms that experienced bankruptcy (failure) and survival. Rechner and Dalton (1991) also showed that forms with CEO duality consistently outperformed firms with a CEO non-duality structure, which contradicts expectation. In another study, Baliga et al. (1996) investigated the announcement effect of changes in the leadership structure. Using accounting measures of operating performance and long-term measures of performance their findings however suggest that: The market was indifferent to changes in the leadership structure; There was no significant effects on the firms operating performance; and There was no significant influence on the firms long-term performance. In a survey in Singapore by Goodwin and Seow (2000), the respondents opinion regarding the need for a separation of the board chairman and the CEO was not very stron g, where the mean score was only 4.85 out of 7.00. Of the three groups in their study only auditors had a mean score of 5.08 while the directors; mean score was only 4.52 and the mean scores were not found to be statistically different. This evidence could be interpreted that the issue of separating the board chairman and CEO was not viewed as critical in the corporate governance structure. As argued the board independence is important in determining its effectiveness to discipline management. It may also be further argued that a board is more independent if the board is dominated by outside directors and the chairman is not the CEO of the firm. As argued by Daynton (1984:35), if one person is wearing two hats, it is always the governance hat that is doffed. In fact, the Malaysian Code on Corporate Governance argues that when the roles of CEO and chairman are combined, the risk of a board being ineffective in discharging its leadership and control duties is high and thus, there n eeds to be a sufficient number of independent directors on the board. Hence, it appears that the performance of the firm is improved if the board is independent and the CEO is not the chairman of the board. Poor corporate governance on the other hand is a fertile ground for corruption and poor financial performance. Brown et al (2003) found that firms with weaker corporate governance perform poorly compared to those with stronger corporate governance in terms of stock returns, profitability, riskiness and dividend payments. Again, poorly governed firms are expected to be less profitable. Claessens et al (2003) also posits that better corporate governance framework benefits forms through greater access to financing, lower cost of capital, better performance and more favourable treatment of all stakeholders. They argue that weak corporate governance does not only lead to poor firm performance and risky financing patterns, but are also conducive for macroeconomic crises like the 1997 East Asia crisis. Other researchers contend that good corporate governance is important for increasing investor confidence and market liquidity (Donaldson 2003). Definition and Examples of Point of View

Point of view is the perspective from which a speaker or writer recounts a narrative or presents information. Also known as a viewpoint. Depending on the topic, purpose, and audience, writers of nonfiction may rely on the first-person point of view (I, we), the second-person (you, your, youre), or the third-person (he, she, it, they). Author  Lee Gutkind points out that point of view is innately tied to voice, and a strong, well-executed point of view will also lead to a strong voice (Keep It Real, 2008). Examples and Observations Point of view is the place from which a writer listens in and watches. Choosing one place over another determines what can and cant be seen, what minds can and cant be entered. . . . The main choice, of course, is between the third and first person, between a disembodied voice and I (in nonfiction synonymous with the author). For some, the choice is made before sitting down to write. Some writers feel obliged to use the third person, by tradition the voice of objectivity, the disinterested mode of address appropriate for the newspaper or for history. Other writers, by contrast, seem to adopt the first person as a reflex, even if they are not writing autobiographically. But choosing a point of view really is a choice fundamental to the construction of nonfiction narratives, thus carrying relevant consequences. No moral superiority inheres in the first or third person, in their many varieties, but the wrong choice can deaden a story or distort it enough to turn it into a lie, sometimes a lie composed of facts.(Tracy Kidder and Richard Todd, Good Prose: The Art of Nonfiction. Random House, 2013) Subjective and Objective Viewpoints Pronouns reflect the various viewpoints. You can choose first-person (I, me, us, our), second person (you), or third person (he, she, they, their). First-person is considered intense, subjective, and emotionally hot. It is the natural choice for a memoir, autobiography, and most personal-experience essays. The reader is the center of attention for second-person. It is the favored point of view for instructional material, advice, and sometimes admonishment! It is intimate without being intense--unless the voice of the author is authoritarian or controlling instead of instructive. . . . Third person can be subjective or objective. For instance, when used for an as told to personal-experience essay, third-person is subjective and warm. When used for news and information, third-person is objective and cool. In fact, all nonfiction is really told in the technical first-person point of view: there is always a narrator doing the telling, and the narrator is not some fictional persona but the author. This single point of view is one of the important—and frustrating—hallmarks that distinguishes nonfiction from fiction. Yet there are ways to mimic other points of view--and thereby to tell a more natural sort of story. Listen to the opening lines of Daniel Bergners God of the Rodeo: When he had finished work--building fence or penning cattle or castrating bull calves with a knife supplied by his boss on the prison farm--Johnny Brooks lingered in the saddle shed. The small cinder-block building is near the heart of Angola, Louisianas maximum-security state penitentiary. Alone there, Brooks placed his saddle on the wooden rack in the middle of the room, leapt onto it, and imagined himself riding in the inmate rodeo coming up in October. Thomas Green Case Essay In order to determine what course of action Davis should take, the root cause of Greens struggles at Dynamic Display (ID) must be examined. Simply stated the root cause for Greens struggles stem from a lack of power and influence and a lack of credibility; however, the contributing factors for these causes require deeper examination. To fully understand the lack of power, a brief history of both Green and Frank Davis must be analyzed. According to the Beckman article, Greens short professional background included 6 years as an account manager in the banking division of a company selling Tams to regional banks in the Southeast. He was recruited to ID as an account manager in their Hospitality and Travel Division selling self-service kiosks. Due to his outstanding performance, Green was invited to a week-long training session at the corporate headquarters where he met Shannon McDonald, the Division UP. After several conversations Green discovered there was an opening for a corporate marketing role and began lobbying for the job (Beckman Gasser, 2008). Green utilized his time to persuade McDonald that he would be a good fit for this marketing role. According to Jay Conger, the four essential steps process of persuasion are establish reducibility, frame goals on common ground, vividly reinforce your position, and con neck emotionally (Conger, 1998). Greens track record of outstanding performance gave Green the credibility he needed to initiate this discussion with McDonald. He framed his goals using the fact they both attended the university of Georgia to build rapport and gain McDonalds support. Explaining his goals to McDonald and elaborating that he wanted to make a significant impact in the company vividly reinforced his position while allowing them to connect emotionally. Green was able to quickly move in to a senior-level position in what could be perceived as a short time frame with very limited experience; a typical career path to the senior marketing specialist at ID included tenure and field experience in the marketing specialist role (Beckman Gasser, 2008). Green moved into a role where he owned no currency or credibility, and was heavily dependent on both his manager and team. It was clear that Green did not have the power to effectively manage his team or work with his anger and O be effective, managers must find ways to acquire power With those on whom they are dependent. In this case, any power Green established while he was an individual account manager was lost in his new role, and he needed to find a way to grow power quickly. Unfortunately, Green possessed neither the expertise nor the track record in marketing to garner credibility with Davis and his own team, two very important characteristics needed in establishing power. Instead, Green chose to utilize a mask in order to help cover up his lack of power in the organization, further contributing to low performance in his role. According to Peter FUD and Richard Buddha, if Green had simply asked, What imperfections might he have been concealing (FUD Buddha, 2011), he would start to understand how his actions were contributing to a poor situation with his manager. By adopting the movie point of view to reflect on the situation, Green would understand how his lack of action was perpetuating his problems with his manager and allow him to recognize what changes in his behavior needed to occur. Had Green spent time reflecting on the situation, he would realize he needed to reach out to others within the organization for coaching. For example, his peers would have offered valuable insight. From an organizational and experiential perspective they could provide Green with relevant and credible direction while relaying knowledge around Davis performance expectations. McDonald could have offered valuable insight as Greens mentor and Offer ideas to help Green develop his sales strategy. Perhaps the best resource to reach out to for coaching would be Davis; Green could have learned what made Davis successful and leveraged both Davis and McDonalds positional power with the marketing specialists who reported to Green to help build credibility and establish his own power. Conversely, Greens manager Frank Davis appeared to have sufficient power and influence at a positional and personal level. For instance, his tenure with ID was 1 7 years, during which time he held various sales and marketing positions. ROR to his promotion to Director of Marketing he spent several years as a marketing specialist and a senior marketing specialist (Beckman Gasser, 2008). His tenure allowed Davis to gain the requisite knowledge and skills to perform both marketing roles prior to his recent promotion. This allowed him to maintain positional power within the organization while allowing him to build more influence throughout the organization. Credibility is a key factor in any organization, and since Green lacked credibility in his new role he was unable to successfully have an open dialogue with Davis regarding his tasks. One example involved feedback through which Davis recommended areas of improvement to Green; specifically, he expected Green to begin developing new marketing strategies for his region (Beckman Gasser, 2008). Davis set Green up for failure by using his positional power to put pressure on Green, even though he knew Green lacked the credibility with his team to complete this task. In the workplace, credibility grows out of two sources: expertise and relationships (Conger, 1998). Since he was Newton the role, he was still developing relationships which would allow him to be successful. His lack of experience reverted him from possessing the appropriate expertise to build credibility with his team. Additionally, when Green did not agree with Davis, he openly voiced his opinions to fellow employees and mana gers, and on one occasion during a budget planning meeting, Green directly challenged Davis on some of his forecasts. His relationship with Davis eventually reached a point where he purposely avoided interactions with Davis whenever he could (Beckman Gasser, 2008). If Green had successfully gained power and credibility with those he was heavily dependent, the relationship with Davis would not have deteriorated so quickly or to the extreme it did, and would have increased Greens chances for success in his current role. Failure to complete assigned tasks also hurt Greens credibility with his manager. In his former role, Green was very effective at building credibility by performing at a high level; this is evident because of the fact that .. Enron executives Quickly took notice of Greens performance and were eager to strengthen his relationship with the company (Beckman Gasser, 2008). Only through high performance and strong credibility could Green attract that kind of attention with executives. In order to build this type of credibility, Green must have met or exceeded all of the goals and objectiv es outlined for him; had he found a way to perform at that level in his new role, Green would have succeeded in gaining credibility with Davis and avoided the poor relationship with his manager. He could also have leveraged his sales experience, along with the requested information from Davis, to further build the credibility and meet his goal of making an impact at ID. Along with a lack of power and credibility, Thomas Green lacked influence. One of the key ways he lacked influence was illustrated by is inability to effectively persuade his manager. For example, when Green challenged Davis regarding the sales figures Davis presented at a meeting, Green did not have sufficient data to help support his claims that the numbers proposed by Davis were unreasonable (Beckman Gasser, 2008). For Davis, having quantitative data was very important for any discussion and would have provided Green common ground to engage in open dialogue. This also would have allowed Green the support needed for his position, and could lead to fact-based open discussion rather than an assumption-based argument. Stilling self-awareness, Green would have recognized that rather than directly challenging his manager in an open meeting, an off-line discussion would have allowed both sides avoid the risk of letting their passion control their arguments. When combined with a data-driven discussion, Green would have been able to successfully argue his points while gaining credibility with his manager. Green ineffectively dealt with office politics while unsuccessfully managing the challenges of interdependency (depending on others to get things done while they dependent on you), diversity (the differences between managers and those whom they depend on), and power gaps (the formal authority over those whom they are dependent) (Hill, Power Dynamics in Organizations, 1995). While suggestions have been made on how to improve his work within the office and with clients, Green chooses not to follow through with them. Green openly challenging Davis in a meeting set into motion the negative aspect of the law of reciprocity (do to others what they do to you) (Hill, Power Dynamics in Organizations, 1995). By making an enemy out of Davis, Green destroyed any credibility he had. He also complained about Davis to other coworkers which can slowly poison a work environment. These statements show that Davis is appropriately considering a change with Greens position, but perhaps Davis should reconsider the consequences of terminating Green. A little bit of self- reflection would show that a percentage of the blame should be focused on IM. Davis needs to take into account that his role has changed, and that he should look to lead more strategically compared to how he did as in his previous role. He should leverage the fact that Green is a rising star in the organization and Offer as much support as possible. While he has given Green specific goals, explaining his expectations to Green and helping him gain power and influence would also reflect well on Davis as a director. Although his role as a senior marketing executive is probably coming to an end, he can seek to be placed back into his former job in the organization. From there, he an continue to be mentored by McDonald and gain the crucial managerial experience. Due to the economy, Davis could theoretically easily find another person to fill Greens role; however, terminating Green would show that he is unable to develop new talent within the organization and reflect poorly upon himself. It may also take longer than anticipated to find a viable replacement for Green. As businesses are cutting back due to the economy, Davis must consider the potential revenue loss of having Greens position sit vacant. Recommendation Our recommendation is that Green be put on a performance improvement Lana and given a short leave to reflect upon the information that has been communicated to him from Davis and McDonald. During his reflection he should take a close look at the series of events that have occurred and come back to discuss with Davis. He needs to determine if he would handle his role moving forward given the knowledge he is now equipped with. He will then need to address the issue of office politics and how he sees himself in the corporate structure at Dynamic Displays. Finally, he needs to ask himself if he feels that he is a cultural fit or does he need to part ways with the company. Implementation After the appropriate paperwork is filed with human resources, Davis should have a mediated discussion with Green prior to Greens leave of absence. Assuming Green chooses to return to Dynamic Displays, the first thing he needs to do is address his work flow issues in order to restore his rapport with Davis. He can do this by completing the tasks already requested by his manager. This will be an effective way to show initiative, be a team player, and work to repair his credibility within the organization. Finally, Green should work to be a more effective listener, taking special note of when to talk and when to listen. Green should also work on not biblically challenge his superiors, even when he does not agree with their decisions.

He covered Broadway and show business in general, and began appearing on radio broadcasts. After appearing on an early television broadcast, an advertising executive thought Sullivan should host a regular TV show. We can find some similarities to this totalitarian regime with the regime of Adolf Hitler. They are both totalitarian regimes that are ruled by different leaders that can convince people to follow them so they can rule a population, and make people to be subordinated to them just by persuading them. So if you look to both totalitarian regimes you can find come similarity in how they ruled the population and what their idea was, but also can find a lot of differences between bot regimes. In the novel of 1984 the author writes about the society under the powerful and omniscient Big Brother. Is an story that show us the dangers of a totalitarian government. So in the book it shows how controlling Big Brother is and also shows that in the future it would be so much more. That means that in the future the danger would be bigger. This is a similarity that Big Brother has with Adolf Hitler; both are very controlling, Hitler controlled and watched all the time the Nazis and the Jews. Both leaders besides being very controller both are obsessed with power. So both leaders needed to have everyone in control of them, because they needed that. Hitler didn’t think twice about his actions, this relates to Big Brother because he was also quick to judge and didn’t give anyone second choice, you were or equal or dead. Influencing people at a young age is one tactic used by Hitler in Nazi Germany and by Big Brother in 1984 to keep the future of their nations devoted. This type of organization makes the young ones feel like they are involved in something important. Both Hitler and Big brother have ways of brain washing the youth mind so they start following them. The spies in 1984 and the Hitler Youth in Nazi Germany grow up living the way that their dictator had set up and for the rest of their lives they will be faithful and devoted, and both dictator make them think that that way of living was the only one good for them, so for the rest of their lives they would think that was the only way of living. That is cruel because the youth don’t know what is going to happen, they don’t know if what they are doing is right or wrong. Both leaders chose youth to manipulate because is so much easier, because they still don’t know a lot of things. Hitler killed a lot of Jews during the Holocaust because he had prejudice against them. This can be related to Big brother because he had prejudice against intelligent people, and used a memory ship to erase their memory, that was his way of stopping intelligence people. Maybe this is not a similarity between them both because Big Brother didn’t kill that much people, but both have the same idea, stopping the people they had prejudice. Both leaders also use mass media to create heroic images about them. Hitler create a cult about himself by making he look god-like and infallibles. Both leaders transform their society in their revolutionary ideas using propagandas and techniques. Hitler and Big Brother presented themselves as god-like to gain the people appeal. Delia Jones' Transformation in Zora Neale Hurston's Sweat Through external conflict exhibited by three significant occasions with the antagonist and husband, Sykes Jones, Zora Neale Hurston takes her leading character, Delia Jones, through an internal change from a submissive character to an aggressive and defensive character in her short story, "Sweat." When the story opens, one finds Delia Jones on a Sunday evening washing clothes, as was her profession, and humming a tune, wondering where her husband had gone with her horse and carriage. Little did she know that within the week she would stand against her abusive husband and watch him die of the situation he would create. Delia's repose was suddenly upset by interference from her husband, Sykes, who dropped "something long, round, limp and black" upon her shoulders. Delia's worst fear was that of snakes, and her husband found joy in mocking and terrifying her. After brief argument, Sykes continued to disrupt Delia's work by kicking the clothes around and threatening throw them outside or hit her. He also mentioned a promise to "Gawd and a couple of other men" that he would no longer have white people's clothes in his house. At this she responds in a manner greatly surprising to Sykes: Delia's habitual meekness seemed to slip from her shoulders like a blown scarf. She was on her feet; her poor little body, her bare knuckly hands bravely defying the strapping hulk before her... She seized the iron skillet from the stove and struck a defensive pose, which act surprised him greatly, coming from her. It cowed him and he did not strike her as he usually did. By nightfall, Sykes had gone for the evening without saying where or when he would be bac... ...lia Jones endured fifteen years of violence, disrespect, and infidelity, and only in those last few months was she able to muster some form of resistance. Until Sykes threatened all that she had, her home and her job, she was content enough just sweating it out. However, Sykes made that grave mistake on his own accord, and when leaving Delia with nothing to lose, he found that he had set himself up for a losing battle. Delia had surrendered to him in all those years, but Sykes had finally found a way to bring out the worst in his wife, and her aggression was finally realized by defending all that she had. Burglary: Criminal Law and Effective Entry

Burglary is an offence under Section 9 of the Thefts Act, which is in 2 separate parts. The first sub section is s9(1)(a) which states â€Å" a person is guilty of burglary if he enters any building or part of a building as a trespasser with the intent to steal, inflict grievous bodily harm, or do unlawful damage to the building or anything in it. † The second part is s9(1)(b) which says â€Å"a person is guilty of burglary if having entered a building or part of a building as a trespasser, he steals or attempts to steal anything in the building or inflicts or attempts to inflict grievous bodily harm on any person in the building†.The difference between the two subsections is the intention at the time of entry. For example s9 (1)(a) the defendant must have the intention to steal, cause GBH or do unlawful damage at the time of entry. For s9 (1)(b) what the defendant intends to do is irrelevant the prosecution must prove that the defendant committed or attempted to commit Theft or GBH. So already there are some confusions with whether or not the defendant would be guilty of Burglary under s9(1)(a) or s9(1)(b). Entry is not defined in the Theft Act, but there have been several cases that help us on what the word â€Å"Entry† actually means.The first case on Entry was the case of Collins 1972. In this case the defendant had drunk alcohol and decided he wanted to have sex. He saw a window that was open and climbed a ladder so he could have a look in. He saw there was a naked girl inside asleep on her bed. So he went down the ladder took off his clothes and climbed back up it to the girls room. She woke up and thought it was her boyfriend and helped him into the bedroom where they had full intercourse. Collins was convicted on s9(1)(a) as he entered with intention to rape.Before 2004 if someone was entering a building with the intention of rape it would be included in this section, but now it is under the Sexual Offences Act. Collins appealed to his conviction as he said that he wasn’t a trespasser when he entered the building as the girl invited him in. The Court of Appeal quashed his conviction as there was no evidence that he was a trespasser and this is what is needed to be guilty of s9(1)(a) and of course Burglary. Brown was also another case that helped clarify what was regarded as entry. The defendant was standing outside but leaning in through a shop window rummaging through the goods.His feet and lower body was outside the shop. The Court of Appeal decided that he had effectively entered the building and therefore his conviction was upheld. However in the case of Ryan the need for effective entry was not followed. In his case the defendant the got trapped in the window he was trying to climb through into a house at 2. 30 am. His head and right arm was stuck inside the house and the rest of his body was outside. This could scarcely be seen to be an effective entry. How ever the Court of Appeal upheld his conv iction as they said the jury could find that the defendant had entered.So what actually qualifies as an effective entry is discovered in these cases. They have clarified by cases like Brown that you will still be guilty of burglary even if your whole body isn’t inside the actual building. Also by cases like the Collins case if you have been invited in by anybody then you cannot be guilty of burglary as you’re not a trespasser. The Theft Act does however give a description of what is considered as a building or part of a building. All inhabited places are considered as buildings so that would include houseboats or caravans, are considered as buildings/dwellings.To be a considered as a building the structure must have some degree of permanence. The main problem for the courts, have occurred where a structure such as a portacabin for example has been used for storage or office work. Moveable structures like this can be seen as buildings even though their use in particular places is only temporary. Section 9 (4) deals with what is considered to be a building and it also says â€Å"buildings include inhabited vehicles or vessels†. Two cases that helped clarify what was considered as a building was the cases B and S v Leathley.In this case a 25 foot long freezer container had been kept in a farmyard for over two years. It was used as a storage facility. It rested on sleepers, had doors with locks and was connected to the electricity supply. This was considered a building because it had some degree of permanence as it was there for 2 years. In the case of Norfolk Constabulary v Seeking and Gould, a lorry trailer with wheels which had been used for over a year for storage, had steps providing access and was connected to electricity supply, was held not be a building.The fact that it had wheels meant that it remained a vehicle. The courts have tried to clarify what a building is but it is still very unclear as some aspects of what the courts look a t are still very difficult, such as how long the structure is there for. â€Å"Part of building† is used to cover situations in which the defendant may have permission to be in one part of the building and is therefore not a trespasser, but doesn’t have permission to be in another part of the building. An example of this is the case of Walkington.In this case the defendant went into a counter area in a shop and opened a till. This area was clearly marked by a three-sided counter. The defendant was convicted of burglary under section 9(1)(a) as he was a trespasser when he went behind the counter. The critical point in this case was that the counter area was not an area where customers were permitted to go. Just like storerooms in shops customers are allowed to be in the shop but not the storeroom. I think that the courts have clarified this very well because of the examples that have used especially the case of Walkington.And the example of people not being allowed in s torerooms but they are allowed in the shop. Also students are allowed in most places in school but they wouldn’t be allowed to stroll into their head teacher’s office. In order for the defendant to commit burglary they must enter as a trespasser. If they have permission to enter then that makes them not a trespasser as we have seen in the Collins case that I have explained above in the first paragraph. The original use of the word trespasser in law comes from the civil law.It was assumed that the meaning of trespasser would be the same as in civil law that â€Å"trespass is entry without the consent of the lawful occupier of the building†. The case of Collins made it clear that there was more required that just the entry. They needed to prove that the defendant entered knowing he was a trespasser or was reckless as to whether or not he was entering the premise of another without permission. Going beyond permission is where the defendant is given permission to en tre but then goes beyond that permission and then is considered a trespasser.This is explained in the case of the Smith and Jones. In this case Smith and his friend went to Smiths fathers house in the middle of the night and took two television set’s without the father’s permission. The father stated that his son would not be a trespasser in the house; he had a general permission to entre. They were convicted for burglary as they had gone beyond their permission to be there. This is similar to the case of Barker v R, where one person was going away and asked the neighbour to watch the house and told them where the key was. The defendant used the key to entre and steal.He was found guilty of burglary. There are many situations where a person has permission to entre for a limited purpose. For example when people go to a concert they are only allowed there for a certain amount of time. The offence of Burglary has been given a definition by Parliament, but it has been left to the courts to clarify all the key points. All the areas have been explained but some have been clarified more than others and as a consequence some areas are still very difficult to understand for example what is a building or part of a building, and going beyond permission.
